Vendor Return Agreement

Effective Date: 02 May 2025

This Vendor Return Agreement (“Agreement”) is entered into between MOKAMMBIKA VENTURES PRIVATE LIMITED, having its registered office at 1035, Lutfabad Bachhouli, Bikapur, Ayodhya, Uttar Pradesh – 224204, India (“Company”), and the Vendor/Seller (“Vendor”) registered on the mOOm platform.

By listing products on the mOOm platform, the Vendor agrees to comply with this Agreement.

1. Purpose of the Agreement

This Agreement governs the return, replacement, and refund obligations of Vendors for products sold through the mOOm platform to ensure customer satisfaction and regulatory compliance.

2. Vendor Obligations

The Vendor agrees to:

  1. Accept returns for eligible products as per platform policy
  2. Ensure products meet declared quality, safety, and legal standards
  3. Provide accurate product descriptions, images, and pricing
  4. Cooperate with investigations related to returns or disputes

3. Eligible Return Scenarios

Vendors must accept returns in the following cases:

  1. Damaged or defective products
  2. Wrong or mismatched products delivered
  3. Products not as described on the platform
  4. Missing parts or accessories

4. Non-Returnable Products

The following may be classified as non-returnable, subject to disclosure:

  1. Perishable agricultural products
  2. Seeds, fertilizers, pesticides (once opened)
  3. Customized or made-to-order items
  4. Digital products and services

Non-returnable status must be clearly stated in the product listing.

5. Return Window

  1. Return requests must be accepted within 3–7 days of delivery (category-specific).
  2. Vendors must respond to return requests within 48 hours of notification.

6. Return Logistics

  1. Return pickup may be arranged by the platform or Vendor.
  2. Vendors are responsible for return shipping costs if the return is due to:
  3. Product defect
  4. Incorrect listing
  5. Packaging failure

7. Refund & Replacement Responsibility

  1. Vendors must authorize refunds or replacements promptly.
  2. Refund amounts will be recovered from the Vendor’s settlement account.
  3. Repeated delays may result in financial penalties.

8. Quality Control & Inspection

  1. Vendors may inspect returned products upon receipt.
  2. False claims must be reported within 24 hours with evidence.
  3. Abuse of return policies by Vendors may result in penalties.

9. Penalties & Account Actions

The Company reserves the right to:

  1. Impose penalties for policy violations
  2. Withhold settlements temporarily
  3. Suspend or terminate Vendor accounts
  4. Delist products without prior notice

10. Compliance with Laws

Vendors must comply with:

  1. Consumer Protection Act, 2019
  2. Legal Metrology Act
  3. GST and taxation laws
  4. Agricultural and environmental regulations (where applicable)

11. Indemnification

The Vendor agrees to indemnify and hold harmless the Company from:

  1. Consumer claims arising from product defects
  2. Regulatory penalties due to Vendor non-compliance
  3. Misrepresentation or illegal products

12. Dispute Resolution

  1. Disputes shall be resolved through mutual discussion.
  2. If unresolved, disputes shall be subject to the exclusive jurisdiction of courts in Ayodhya, Uttar Pradesh.

13. Term & Termination

This Agreement remains valid while the Vendor is active on the platform.

The Company may terminate this Agreement immediately upon policy violation.

14. Amendments

The Company may update this Agreement at any time.

Continued use of the platform constitutes acceptance of revised terms.

15. Acceptance

By registering and listing products on the mOOm platform, the Vendor confirms acceptance of this Agreement electronically.
