Vendor Terms & Conditions

These Vendor Terms & Conditions (“Terms”) govern the relationship between MOKAMMBIKA VENTURES PRIVATE LIMITED (“Company”) and any individual or entity registering as a Vendor/Seller (“Vendor”) on the mOOm platform.

By registering or listing products on the platform, the Vendor agrees to be legally bound by these Terms.

1. Vendor Eligibility & Registration

1. Vendors must be legally eligible to sell products in India
2. Mandatory submission of KYC details (PAN, GST, bank details, address proof)
3. Only genuine, lawful, and compliant businesses/farmers are allowed
4. The Company reserves the right to approve, reject, or suspend any vendor account

2. Scope of Services

The platform provides:

1. Online marketplace access
2. Order management and payment facilitation
3. Logistics support (where applicable)
4. Customer support and dispute resolution

The Company acts only as a facilitator, not a buyer or seller.

3. Product Listing Obligations

Vendors must ensure:

1. Accurate product name, description, images, and pricing
2. Compliance with Legal Metrology, GST, Consumer Protection, and sector-specific laws
3. No sale of prohibited, restricted, counterfeit, or expired products

Misrepresentation may lead to penalties or permanent delisting.

4. Pricing & Taxes

1. Vendors are solely responsible for product pricing
2. All applicable taxes, GST, duties, and levies must be correctly charged and paid
3. The Company is not responsible for vendor tax liabilities

5. Order Fulfilment

Vendors must:

1. Accept orders within 24 hours
2. Dispatch orders within 24–48 hours (category dependent)
3. Use proper, safe, and tamper-proof packaging
4. Provide valid invoices with shipments

6. Returns, Refunds & Cancellations

1. Vendors must comply with the Vendor Return Agreement, Refund & Cancellation Policy, and Vendor SLA
2. Refund amounts may be recovered from vendor settlements
3. Repeated failures may result in account suspension

7. Payments & Settlements

1. Settlements are released after successful order completion
2. The Company may deduct:
3. Platform fees
4. Penalties
5. Refund amounts
6. Settlement timelines depend on banking and compliance verification

8. Vendor Ratings & Performance

Vendor performance is measured through:

1. Order fulfillment rate
2. Cancellation and return rates
3. Customer feedback and ratings

Poor performance may result in reduced visibility or suspension.

9. Prohibited Activities

Vendors shall not:

1. Sell illegal, banned, or counterfeit products
2. Manipulate reviews or ratings
3. Misuse customer data
4. Engage in fraud, misrepresentation, or unethical practices

10. Data Protection & Confidentiality

1. Customer data must be used only for order fulfillment
2. Sharing or misuse of data is strictly prohibited
3. Vendors must comply with the platform’s Privacy Policy

11. Penalties & Enforcement

The Company may impose:

1. Financial penalties
2. Listing deboost or delisting
3. Temporary or permanent account suspension
4. Legal action in serious cases

As per the Vendor Penalty Matrix.

12. Intellectual Property

1. Platform branding, logos, software, and content belong to the Company
2. Vendors grant permission to use product images and descriptions for marketing

13. Limitation of Liability

The Company shall not be liable for:

1. Vendor business losses
2. Product defects or regulatory penalties
3. Logistics delays beyond reasonable control

14. Indemnification

Vendors agree to indemnify the Company against:

1. Consumer claims
2. Legal or tax penalties
3. Losses arising from vendor non-compliance

15. Termination

The Company may terminate vendor access:

1. For breach of these Terms
2. For repeated SLA violations
3. For illegal or unethical conduct

Termination may occur without prior notice in serious cases.

16. Governing Law & Jurisdiction

These Terms are governed by the laws of India.

All disputes shall be subject to the exclusive jurisdiction of the courts in Ayodhya, Uttar Pradesh.

17. Acceptance

Vendor acceptance is deemed upon:

1. Account registration
2. Listing products
3. Digital acceptance on the vendor dashboard
