Vendor Terms & Conditions

MOKAMMBIKA VENTURES PRIVATE LIMITED

(Applicable to all Sellers/Vendors registered on the MOOM Platform)

1. Introduction

These Vendor Terms & Conditions (“Agreement”) govern the relationship between MOKAMMBIKA VENTURES PRIVATE LIMITED (hereinafter referred to as “MVPL”, “we”, “our”, or “us”) and the registered Vendor/Seller (hereinafter referred to as “you” or “Vendor”) on the MOOM Platform (“Platform”).

By registering or selling products/services on the Platform, the Vendor agrees to abide by these Terms & Conditions.

2. Eligibility & Registration

  1. Vendors must be legally registered entities or individuals authorized to conduct business in India.
  2. Accurate business information, GST, PAN, Bank Account details, and address proof must be submitted during registration.
  3. MVPL reserves the right to verify and approve/reject any vendor registration at its discretion.

3. Vendor Obligations

  1. Vendors must ensure authentic, lawful, and high-quality products/services.
  2. All products listed must comply with applicable Indian laws, including those related to packaging, labeling, FSSAI, BIS, and consumer protection.
  3. Vendors are responsible for inventory management, timely order fulfillment, and accurate product descriptions.
  4. Vendors shall not list prohibited or restricted items as per Platform policy or Indian law.
  5. Any misleading information or counterfeit goods may result in immediate suspension or termination.

4. Pricing & Payments

  1. Vendors have the right to set product prices but must ensure compliance with fair trade practices.
  2. MVPL may deduct applicable commission fees, subscription charges, and payment gateway fees before remitting payments.
  3. Payments to vendors will be made after successful order delivery and buyer confirmation, as per the payment schedule communicated on the Platform.
  4. Taxes (GST, TDS, etc.) will be deducted/handled as per Indian tax regulations.

5. Order Management & Delivery

  1. Vendors must confirm and dispatch orders within the stipulated time.
  2. Packaging must be safe, tamper-proof, and suitable for transportation.
  3. Delivery may be handled by Vendor or through MVPL’s approved logistics partners.
  4. Any delay, non-delivery, or product damage due to vendor negligence shall be the Vendor’s responsibility.

6. Returns, Refunds & Cancellations

  1. Vendors must honor the Platform’s return and refund policies.
  2. Returned items must be inspected promptly, and refunds initiated as per policy timelines.
  3. Vendors will bear the cost of return shipping if the return is due to defective or misrepresented products.

7. Commission, Subscription & Wallet

  1. Vendors shall pay applicable subscription fees (monthly/annual) as per the plan chosen on the Platform.
  2. MVPL may deduct a commission percentage per sale, as communicated from time to time.
  3. Vendor Wallet balance (if applicable) may be used for advertising, promotions, or subscription renewals within the Platform.

8. Intellectual Property & Content

  1. Vendors grant MVPL a non-exclusive, royalty-free right to use their brand name, logo, images, and product data for promotional and operational purposes.
  2. Vendors must ensure they own or have the right to use all intellectual property associated with listed products.
  3. MVPL reserves the right to remove any listing or content violating IP laws or Platform policy.

9. Compliance with Laws

Vendors must comply with all applicable central, state, and local laws, including but not limited to:

  1. Goods and Services Tax (GST)
  2. Consumer Protection Act, 2019
  3. Legal Metrology Act
  4. IT Act, 2000 and related data privacy norms

10. Confidentiality & Data Protection

  1. Vendors must maintain confidentiality of any business, customer, or platform data received through MVPL.
  2. Unauthorized sharing or misuse of data will lead to legal action and termination.

11. Indemnification

Vendors agree to indemnify and hold harmless MVPL, its directors, and affiliates from any claims, damages, losses, or liabilities arising from:

  1. Violation of laws
  2. Product defects or misrepresentation
  3. Breach of this Agreement
  4. Customer complaints or disputes

12. Limitation of Liability

MVPL shall not be liable for:

  1. Any indirect, incidental, or consequential losses.
  2. Delays or service interruptions due to force majeure or technical issues.

13. Termination & Suspension

  1. MVPL may suspend or terminate a Vendor account for breach of terms, fraudulent activity, or non-compliance.
  2. Upon termination, all pending dues (subject to deductions) will be settled within the standard payment cycle.

14. Modification of Terms

MVPL reserves the right to update or modify these Terms at any time. Vendors will be notified via email or dashboard notice. Continued use of the Platform implies acceptance of the updated Terms.

15. Governing Law & Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of India.

Any disputes shall be subject to the exclusive jurisdiction of courts in Faizabad, Uttar Pradesh.
